These Terms and Conditions govern your use of the Gatherly platform. By using Gatherly, you accept these terms in full. If you disagree, please do not use the site.

1. Acceptance of Terms

By accessing or using the Gatherly website (gatherly.co.nz), you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

These Terms apply to all visitors, users, event organisers, and businesses who access or use the Gatherly platform. We reserve the right to update these Terms at any time without prior notice. Continued use of the platform following any changes constitutes acceptance of the revised Terms.

2. Description of Service

Gatherly is an online directory and discovery platform that connects Wellington families with local events, activities, and programmes for children. We provide a space for event organisers and businesses to list their offerings and for parents and caregivers to discover relevant activities.

Gatherly does not organise, host, or take responsibility for any of the events listed on the platform. We act solely as an information intermediary. All event details — including dates, prices, locations, and age suitability — are provided by the listing organiser and are subject to change without notice.

3. User Conduct

You agree to use Gatherly only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

— Submit false, misleading, or inaccurate information about any event, business, or person. — Use the platform to distribute spam, unsolicited messages, or promotional material without consent. — Attempt to gain unauthorised access to any part of the platform or its underlying systems. — Post content that is offensive, discriminatory, defamatory, or otherwise harmful. — Use automated tools to scrape, crawl, or extract data from Gatherly without prior written permission.

Gatherly reserves the right to remove any content and suspend or terminate access for users who violate these conditions.

4. Business Listings & Event Submissions

Businesses and event organisers who submit listings to Gatherly represent and warrant that: (a) all information provided is accurate, complete, and up to date; (b) they have the legal right to promote the event or service described; and (c) the event or activity complies with all applicable New Zealand laws and regulations.

Gatherly reserves the right to approve, reject, edit, or remove any listing at its sole discretion. Submission of a listing does not guarantee publication. We may decline listings that we consider inappropriate, low quality, or inconsistent with our platform's purpose.

Gatherly does not charge for standard listings. We reserve the right to introduce paid promotional features in the future, with clear notice to users before any fees are applied.

5. Accuracy of Information

While we make reasonable efforts to ensure the accuracy of information on our platform, Gatherly makes no warranties or representations regarding the completeness, accuracy, reliability, or suitability of any event listings, descriptions, prices, dates, or other information displayed.

You acknowledge that event details may change after listing. We strongly recommend verifying event details directly with the organiser before attending. Gatherly accepts no liability for any loss, inconvenience, or disappointment resulting from inaccurate or outdated listing information.

6. Intellectual Property

All content on the Gatherly platform — including text, graphics, logos, design, and software — is the property of Gatherly or its content suppliers and is protected by New Zealand and international intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of any Gatherly content without express written permission. Event organisers who submit listings retain ownership of their own content but grant Gatherly a non-exclusive, royalty-free licence to display, reproduce, and promote that content on the platform and associated marketing channels.

7. Third-Party Links

Gatherly may contain links to third-party websites, including event organiser websites, social media platforms, and booking systems. These links are provided for your convenience only. Gatherly has no control over the content or practices of third-party sites and accepts no responsibility for them.

Accessing any linked third-party website is entirely at your own risk. We encourage you to review the terms and privacy policies of any external site you visit.

8. Disclaimer of Warranties

Gatherly is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by New Zealand law, Gatherly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Gatherly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to: loss of revenue, loss of data, personal injury, or property damage.

Our total liability to you for any claim arising from your use of Gatherly shall not exceed NZD $100. Nothing in these Terms limits liability for death or personal injury caused by negligence, or for any liability that cannot be excluded by law.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of New Zealand. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
